Affiliate Program Terms of Service

1. Introduction and Acceptance

These Affiliate Program Terms of Service (“Agreement”) constitute a legal agreement between you (“Affiliate,” “you,” or “your”) and Pangolia Pte Ltd, a Singapore company (“Company,” “we,” “us,” or “our”), operating the PangoVet.com brand (“PangoVet”). By applying to, registering for, or participating in the PangoVet Affiliate Program (the “Program”), you acknowledge that you have read, understood, and agree to be bound by this Agreement.

PangoVet provides veterinary telehealth and telemedicine services globally, with primary operations in the United States, Canada, and the United Kingdom.

2. Enrollment and Eligibility

2.1 Application Process

To participate in the Program, you must complete the application process through our affiliate platform powered by Tolt. We reserve the right to accept or reject any application at our sole discretion.

2.2 Age Requirement

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to participate in the Program.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during the application process and maintain the accuracy of such information throughout your participation in the Program.

2.4 Account Security

You are responsible for maintaining the confidentiality of your affiliate account credentials and for all activities that occur under your account.

3. Commission Structure

3.1 Commission Basis

Affiliates earn a flat rate commission for each Qualifying Transaction. A “Qualifying Transaction” is defined as a successful paid veterinary consultation call through PangoVet that:

• Is completed through your unique affiliate link
• Results in payment from the customer
• Is not refunded or charged back

3.2 Cookie Duration

Our tracking system uses a 15-day cookie window. If a customer clicks your affiliate link and completes a Qualifying Transaction within 15 days, you will receive credit for that transaction.

3.3 Commission Tracking

All commissions are tracked through the Tolt platform. You can view your commission status, pending payments, and transaction history through your affiliate dashboard.

3.4 Non-Qualifying Transactions

You will not earn commissions for:

• Transactions that are refunded or charged back
• Fraudulent or suspicious transactions
• Transactions that violate this Agreement
• Your own purchases or self-referrals (unless explicitly permitted in writing)

4. Payment Terms

4.1 Payment Schedule

Commissions are paid twice monthly, subject to reaching the minimum payout threshold.

4.2 Minimum Payout Threshold

The minimum payout threshold is USD $50.00. Commissions below this threshold will roll over to the next payment period until the threshold is met.

4.3 Payment Method

Payments will be made through the Tolt platform according to the payment method you have designated in your account settings.

4.4 Tax Responsibility

You are solely responsible for all taxes associated with your commission earnings. We may be required to collect tax information from you and report earnings to relevant tax authorities.

4.5 Currency

All payments are made in United States Dollars (USD) unless otherwise specified.

5. Affiliate Responsibilities

5.1 Promotional Content

You agree to:

• Promote PangoVet in a professional, ethical, and lawful manner
• Ensure all promotional content is accurate and not misleading
• Comply with all applicable laws and regulations in your jurisdiction
• Keep promotional materials current and remove outdated information

5.2 FTC Disclosure and Regulatory Compliance

You must clearly and conspicuously disclose your affiliate relationship with PangoVet in accordance with:

• U.S. Federal Trade Commission (FTC) guidelines
• UK Advertising Standards Authority (ASA) requirements
• Canadian advertising standards
• Any other applicable advertising and disclosure regulations in your jurisdiction

Acceptable disclosure language includes, but is not limited to:

• “This post contains affiliate links, which means I may earn a commission if you make a purchase through these links.”
• “I’m a PangoVet affiliate and may earn a commission from qualifying purchases.”

Disclosures must be placed prominently and before any affiliate links or call-to-action.

5.3 Brand and Trademark Usage

You are permitted to use the PangoVet brand name and trademarks in your promotional efforts, provided that:

• You use only approved marketing materials or follow brand guidelines
• You do not alter our trademarks or logos
• You do not create confusion about the relationship between you and PangoVet
• You do not suggest endorsement, partnership, or employment beyond the affiliate relationship
• You discontinue all use immediately upon termination of this Agreement

6. Prohibited Practices

You expressly agree NOT to engage in the following activities:

6.1 Fraudulent Activity

• Click fraud, impression fraud, or any form of artificial traffic generation
• Cookie stuffing or manipulation of tracking mechanisms
• Creating fake accounts or transactions
• Using bots, automated systems, or scripts to generate clicks or conversions
• Self-referring or using your own affiliate links for personal purchases (unless explicitly authorized)

6.2 Misleading Marketing

• Making false, misleading, or unsubstantiated claims about PangoVet services
• Guaranteeing specific medical outcomes or results
• Impersonating PangoVet or our employees
• Creating confusion about your relationship with PangoVet
• Using fake testimonials or reviews
• Engaging in deceptive pricing practices or false urgency tactics

6.3 Trademark and Brand Violations

• Bidding on PangoVet trademarked terms in paid search advertising (e.g., Google Ads, Bing Ads) without explicit written permission
• Using PangoVet trademarks in domain names, subdomains, or social media handles in a way that creates confusion
• Altering or modifying PangoVet logos, trademarks, or brand assets

6.4 Prohibited Marketing Channels

• Unsolicited commercial email (spam) or bulk email marketing without proper consent
• Pop-ups, pop-unders, or other intrusive advertising methods
• Malware, spyware, or adware distribution
• Incentivized clicks, traffic, or conversions (e.g., “cash-back” offers, points programs) without written approval
• Copyright infringement or unauthorized use of third-party content
• Adult, pornographic, or sexually explicit content
• Illegal content or promotion of illegal activities

6.5 Restricted Content and Context

You may not promote PangoVet in connection with or on websites/platforms featuring:

• Illegal activities or content
• Hate speech, violence, or discrimination
• Content that disparages PangoVet or competitors
• Medical misinformation or dangerous health advice
• Unlicensed medical practice or diagnosis
• Content that violates veterinary practice laws or regulations

6.6 Privacy Violations

• Collecting personal information from users without proper consent
• Violating data protection laws (GDPR, CCPA, PIPEDA, PDPA, etc.)
• Sharing customer data with third parties without authorization
• Using tracking methods beyond our approved affiliate links

6.7 Unethical Practices

• Typosquatting or URL hijacking
• Negative SEO tactics against PangoVet or competitors
• Creating fake comparison sites that unfairly favor PangoVet
• Engaging in any practice that could harm PangoVet’s reputation or business interests

7. Intellectual Property

7.1 Ownership

All intellectual property rights in PangoVet’s trademarks, logos, content, and materials remain the exclusive property of Pangolia Pte Ltd. This Agreement grants you only a limited, non-exclusive, revocable license to use these materials solely for the purpose of promoting PangoVet as an affiliate.

7.2 Marketing Materials

We may provide you with marketing materials, banners, links, and other promotional content. You may only use these materials as provided and may not modify them without written permission.

7.3 No Implied Rights

No rights or licenses are granted to you under this Agreement except as expressly stated herein.

8. Term and Termination

8.1 Term

This Agreement begins on the date you are accepted into the Program and continues until terminated by either party.

8.2 Termination by Either Party

Either party may terminate this Agreement with one (1) month written notice to the other party.

8.3 Immediate Termination

We reserve the right to immediately terminate this Agreement without notice if:

• You breach any provision of this Agreement
• You engage in fraudulent or illegal activity
• Your promotional activities harm or could harm PangoVet’s reputation or business
• You become insolvent or cease operations

8.4 Effect of Termination

Upon termination:

• Your access to the affiliate platform will be revoked
• You must immediately cease all use of PangoVet trademarks, logos, and marketing materials
• You must remove all affiliate links and promotional content
• All outstanding commissions earned prior to termination that meet the payout threshold will be paid according to our normal payment schedule
• Commissions for pending transactions (not yet completed) at the time of termination may be forfeited at our discretion
• Any provisions intended to survive termination (including confidentiality, indemnification, and limitation of liability) will remain in effect

9. Warranties and Disclaimers

9.1 Affiliate Warranties

You represent and warrant that:

• You have the legal authority to enter into this Agreement
• Your promotional activities will comply with all applicable laws
• Your content and promotional methods do not infringe on third-party rights
• All information you provide is accurate and complete

9.2 Disclaimer

THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

• Uninterrupted or error-free operation of the affiliate platform
• Specific commission earnings or results
• Continued availability of the Program
• Accuracy of tracking or reporting

10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10.2 Excluded Damages

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pangolia Pte Ltd, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your breach of this Agreement
• Your promotional activities and content
• Your violation of any law or third-party rights
• Any claim that your content or activities caused harm to a third party

12. Confidentiality

12.1 Confidential Information

You acknowledge that you may receive confidential information about our business, including but not limited to commission structures, performance data, business strategies, and customer information. You agree to keep all such information confidential and not disclose it to third parties.

12.2 Survival

Your confidentiality obligations survive termination of this Agreement.

13. Modification of Terms

We reserve the right to modify this Agreement at any time. We will notify you of material changes via email or through the affiliate platform. Your continued participation in the Program after such notice constitutes acceptance of the modified terms. If you do not agree to the modifications, you must terminate your participation in the Program.

14. Independent Contractor Relationship

You are an independent contractor and not an employee, agent, partner, or joint venturer of Pangolia Pte Ltd. You have no authority to bind us to any obligation or make any representation on our behalf. You are responsible for all expenses incurred in your promotional activities.

15. General Provisions

15.1 Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.

15.2 Entire Agreement

This Agreement constitutes the entire agreement between you and Pangolia Pte Ltd regarding the Program and supersedes all prior agreements and understandings.

15.3 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.4 Waiver

Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

15.5 Assignment

You may not assign or transfer this Agreement or any of your rights or obligations hereunder without our prior written consent. We may assign this Agreement without restriction.

15.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

15.7 Notices

All notices under this Agreement must be in writing and sent to the contact information provided in your affiliate account or as otherwise specified by us.
